Power of Community - Pedernales Electric Cooperative


Pedernales Electric is guided by the unique principles of the cooperative business model, including democratic member control. Our Board of Directors, made up of democratically elected PEC members, provides leadership and oversight on behalf of the entire membership.

Each year, eligible members can seek nomination for director positions up for election through the petition process established by PEC's Bylaws. The deadline to file a petition to be a 2017 director candidate is March 27. The following is a basic outline of the nomination-by-petition process members are required to use to seek nomination for a board position:

  1. Review Article III of the PEC Bylaws, as well as the board district maps, Election Policy and ProceduresConflict-of-Interest Policy and Directors' Code of Conduct to check eligibility and for other necessary information. Nominees must maintain primary residence and receive continuous electric service for one year in the PEC director district for which election is sought.
  2. Download petition materials from the PEC website or get them printed at a local PEC office.
  3. Complete all of the petition forms, including a Candidate Application, Consumer Report Disclosure and Consent Form, Directors' Code of Conduct Affirmation and Conflict-of-Interest Certification and Disclosure Form.
  4. Provide biographical information according to the guidelines in the Election Procedures. (Biographical information guidelines also are outlined in the petition materials.)
  5. Use the signature form (print as many as needed) provided in the petition materials to obtain verifiable signatures from at least 50 members living in (or having designated voting residences in) the PEC director district for which election is sought. Lists of members for all director districts are available by request at openrecords@peci.com; for more detailed information, please call the PEC Elections Team at 1-800-868-4791, ext. 4916. Members seeking nomination are encouraged to collect more than 50 signatures to account for possible verification issues.
  6. Mail or hand deliver all original, completed petition forms, including the Candidate Application, Consumer Report Disclosure & Consent Form, Directors' Code of Conduct Affirmation, Conflict-of-Interest Certification and Disclosure Form, and required signatures, so they are received by the Board Recording Secretary at PEC’s Johnson City headquarters by 5 p.m. on March 27, 2017. Biographical materials have to be emailed by 5 p.m. on the same date to election@peci.com. All forms and requirements have to be completed in order for PEC and the member-staffed Qualifications and Elections Committee to verify nominees' eligibility.
  7. Once nomination signatures and eligibility are verified, the member will be placed on the ballot and contacted regarding a candidate orientation meeting. Directors are then elected by PEC members, with voting ending at the PEC Annual Meeting June 17.

  • Candidates are responsible for their own campaigns.
  • Directors may serve up to four consecutive three-year terms.
  • Directors are compensated for their service. Please review our Director Compensation Policy for more information.
  • To encourage voting participation by helping members learn more about board candidates, in March of 2016 PEC's Board of Directors voted to provide a Candidate Questionnaire to members qualifying to run in the 2017 Board election. Candidates' responses to the questionnaire will be posted with the candidates' biographical information on the cooperative’s election services provider's website. Links to the bios and responses will be provided on ballot materials, including election email notifications.

Qualifications & Elections Committee

The Qualifications and Elections Committee was established for the purpose of having an independent, member-led group determine whether potential candidates satisfy the established requirements to serve on the PEC board, rather than having PEC management and board directors verify nominees’ qualifications.

The three- to seven-member committee reviews the qualifications of members who submit nomination petitions to become director candidates, and then certifies that candidates satisfy all requirements. Members are invited to attend a committee meeting and comment about candidates' qualifications. The committee is appointed by the board each February and dissolved after the PEC Annual Meeting.
